Please read these terms and conditions carefully before using our Payroll Lending Platform.
1. Introduction and Acceptance
Welcome to the Payroll Lending Web Application Platform ("the Platform"). This platform is owned and operated by ("the Company"). By accessing, registering, or applying for a loan through this application, you ("the User", "the Borrower") explicitly agree to be bound by these Terms and Conditions ("Terms").
If you do not agree to these Terms, you are prohibited from utilizing the Platform or drawing down any loan facilities.
2. Eligibility Criteria
To qualify for a loan facility via this Platform, you must meet the following mandatory criteria at the time of application:
- Be a citizen or legal resident of the Federal Republic of Nigeria.
- Be at least 18 years of age.
- Be actively employed by an organization that has an executed Memorandum of Understanding (MOU) or partnership agreement with the Company.
- Have an active, verifiable salary bank account with a commercial bank licensed by the Central Bank of Nigeria (CBN).
- Possess a valid Bank Verification Number (BVN) linked to your salary account.
3. Loan Application and Approval Process
Application Submission: All applications must be submitted electronically via the Platform. You are required to provide accurate, current, and complete personal and financial information. Any misrepresentation or submission of fraudulent documents will result in immediate rejection, account suspension, and possible legal prosecution.
No Guarantee of Approval: The submission of a loan application via the Platform does not constitute a binding obligation on the Company or a guarantee of loan approval or disbursement. The Company reserves the sole discretion to approve or decline applications based on its internal credit assessments, risk profiles, and credit bureau history.
Disbursement: Upon successful vetting and approval, funds will be electronically disbursed to the designated salary bank account validated during your application.
4. Interest, Fees, and Default Penalties
Rates and Fees: The applicable interest rate, management fees, processing fees, and total repayment amount will be dynamically calculated and displayed on the Platform prior to execution. By accepting the loan offer, you agree to these financial charges.
Repayment Structure: Repayments will be structured as monthly deductions aligned specifically with your employer's payroll and salary disbursement cycle.
Default and Penalty Charges: If a repayment fails due to insufficient funds, loss of employment, or delayed salary payment, the Company reserves the right to impose a fixed default penalty charge or a daily compounding interest rate on the overdue balance, subject to applicable regulatory caps/limits.
Tax Compliance: You fully understand and agree that you shall be solely liable for any statutory tax, fees or levies required by the Federal Republic of Nigeria, that may arise from financial operations conducted under your profile.
5. Repayment Mechanisms & Auto-Debit Authorization
By accepting these Terms and conditions on the platform and executing a loan agreement, you grant the Company an irrevocable mandate and authorization to recover all outstanding principal, interest and default fees via the following means:
Source Deductions: By drawing down a loan on this platform, you issue an unconditional, absolute and irrevocable standing instruction to your employer to deduct the agreed monthly installment amount directly from your salary at source and remit it directly to the lender until the total outstanding balance is fully liquidated. This mandate cannot be modified or revoked by you without our written consent.
Direct Debit Mandates: Automated clearing house debits, card tokens, or direct payment mandates (e.g., Remita, NIBSS, or card processing partners) linked to your designated salary account.
Global Standing Instruction (GSI): You explicitly authorize the Company to execute GSI mandates to trigger auto-deductions from any or all bank accounts associated with your Bank Verification Number (BVN) across any licensed financial institution in Nigeria to offset outstanding liquidated obligations.
6. Anti-Fraud, Compliance, and Credit Reviews
Regulatory Reporting: You consent to the Company executing credit history inquiries with licensed Credit Bureaus (e.g., CRC, FirstCentral) and reporting your loan status (performing or non-performing) to central registries.
Fraud Prevention: Where the Company reasonably suspects, flags, or identifies that your account or loan application involves fraudulent activity, identity theft, money laundering or other financial crimes, the company reserves the unilateral right to immediately suspend the account, cancel pending disbursements, and retain any funds pending a conclusive investigation.
Account Restrictions: The Company is legally permitted to restrict user access and report suspicious activities directly to regulatory bodies or law enforcement agencies (such as the EFCC or Central Bank of Nigeria) without prior notice to you.
7. Intellectual Property and Permissible Use
All content, source codes, interfaces, graphics, APIs, and technical architecture powering the Payroll Lending Web Application Platform belong exclusively to the Company.
You must not attempt to breach the platform's security, reverse-engineer the web application, introduce malicious software, or use the interface for any illicit or unauthorized purpose.
8. Service Availability and Disclaimers
The Platform is provided on an "as is" and "as available" basis. The Company makes no representations or warranties of any kind, express or implied, regarding system uptime, seamless functionality, or the absence of minor technical errors.
Access to the platform may be temporarily suspended or permanently discontinued with due notice for routine IT maintenance, regulatory shifts, or immediate security interventions to prevent platform compromise.
9. Communication and Service Notifications
You expressly agree that as part of the service you may from time to time receive communications from us via emails, SMS and other digital means. You may elect to stop receiving promotional messages by following the opt-out instructions included in such messages, however you may not opt-out of receiving service related or security related messages, as they ensure that we are able to deliver accurate, relevant, sensitive and security related alert to you.
10. Limitation of Liability
In no event shall the company, subsidiaries, its suppliers, affiliates, be liable for any direct, indirect, punitive, incidental, special, consequential damages, or any damages whatsoever arising out of or in any way connected with the use or performance of the service. This includes, without limitation, damages for loss of use, data, or profits arising out of the delay or inability to use the service, the failure to provide services, or errors caused by third-party payment processors or employers. If you are dissatisfied with any portion of the service, your sole and exclusive remedy is to discontinue use.
11. Privacy and Data Protection
The Company processes all personal and financial data in strict compliance with the Nigeria Data Protection Act (NDPA) and our published Privacy Policy. By using the Service, you grant explicit consent to the Company to collect, process, store, and transmit your data for the purposes of identity verification, credit evaluation, fraud prevention, and debt recovery.
12. Governing Law and Dispute Resolution
This Agreement shall be governed by, interpreted, and construed in accordance with the laws of the Federal Republic of Nigeria, without reference to conflict of laws principles.
Any dispute, controversy, or claim arising out of the validity, interpretation, or implementation of these Terms shall first be subjected to mutual, good-faith amicable negotiations between the parties.
If the dispute is not resolved via mutual consultation within fourteen (14) days, it shall be submitted to mediation before a sole mediator in English, to take place in Lagos, Nigeria.
Notwithstanding the mediation clause, nothing in this Agreement shall prevent the Company from seeking immediate injunctive relief or provisional remedies from a court of competent jurisdiction to protect its proprietary data, intellectual property, or corporate assets.
13. Miscellaneous Provisions
Severability: If any single provision or clause within these Terms is deemed unlawful or unenforceable by a court of competent jurisdiction, that specific provision shall be severed without undermining the legal validity and enforceability of the remaining portions.
No Waiver: A failure or delay by the Company to enforce any provision or exercise its rights under these terms at any point does not constitute a waiver of those rights in the future.
Whole Agreement: This document, alongside the executed loan offer sheet and the Privacy Policy, constitutes the entire agreement between the parties regarding the subject matter.
Modifications: The Company reserves the right to amend, alter, or update these Terms and Conditions at any time to reflect operational, technical, or regulatory shifts. Updated terms will be published on the Platform, and your continued usage of the Service constitutes automatic acceptance of the revised terms.
